1. About these terms

These terms of service (the “Terms”) form a legal agreement between you and WannaCall Ltd, trading as Wannaverse, a company registered in England and Wales with company number 13112226, whose correspondence address is 124 City Road, London, EC1V 2NX, United Kingdom (“we”, “us”, “our”). They apply to your use of the website and app at stickynotes.space and any related services (the “Service”).

Our Privacy Policy explains how we handle your personal data and forms part of these Terms.

2. Who can use the Service

You must be at least 13 years old to use the Service. If you are under 18, you confirm that a parent or guardian has read and agreed to these Terms on your behalf. You must not use the Service if you are barred from doing so under the laws of any applicable country.

The Service is provided mainly for personal, domestic use. If you use it for or on behalf of a business or other organisation, you confirm that you are authorised to accept these Terms for it, and section 14 applies.

3. Your account and signing in

  • You sign in with a one-time code sent to your email address. Signing in for the first time creates your account. You must use an email address that you own and control, and keep the information accurate.
  • Anyone with access to your email can sign in to your account, so you are responsible for keeping your email account secure. You must not share sign-in codes with anyone.
  • You are responsible for everything that happens under your account. Tell us immediately at support@stickynotes.space if you think someone has accessed your account without permission.
  • One person may not create accounts in bulk or create accounts by automated means.

4. The Service

The Service lets you create and organise digital sticky notes, with features such as a dashboard, a Kanban board and a freeform wall. The Service is currently provided free of charge. If we introduce paid features in future, we will present any additional terms and prices before you buy anything, and you will never be charged without your agreement.

Features such as reminders of due dates, load warnings and “lighter day” suggestions are helpful prompts only. You remain responsible for your own plans, deadlines and decisions.

5. Your content

  • You own your content. The notes and other material you add (“Your Content”) remain yours. We do not claim ownership of it.
  • Permission to run the Service. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display Your Content, only as necessary to operate, secure, back up and improve the Service for you and to comply with the law. This licence ends when Your Content is deleted from our systems, as described in our Privacy Policy.
  • Your responsibility. You are solely responsible for Your Content and confirm that you have the right to use it and that it does not break the law or these Terms.
  • No monitoring obligation. We do not routinely review Your Content and are not responsible for it. We may, however, remove or disable access to content, or suspend accounts, if we reasonably believe that content breaks the law or these Terms, or if required to by a court or authority.
  • Sensitive information. The Service is not designed to store passwords, payment card or bank details, health records or other highly sensitive information, and your notes are not end-to-end encrypted. Do not store such information in the Service.

6. Acceptable use

You agree not to use the Service, or help anyone else use it, to:

  • break any law or regulation, or infringe anyone’s rights, including intellectual property and privacy rights;
  • store or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, hateful or that exploits or harms children;
  • store or distribute malware, or anything designed to damage or gain unauthorised access to any system;
  • probe, scan or test the vulnerability of the Service, or breach or bypass any security or authentication measure, except as part of responsible disclosure agreed with us in writing;
  • interfere with or disrupt the Service, overload our infrastructure, or send automated requests in a way that a person using a normal browser could not, including scraping;
  • use the Service to send spam, or abuse the sign-in system to send emails to people who have not asked for them;
  • copy, modify, reverse engineer, decompile or create derivative works from the Service, except to the extent the law expressly allows this despite this restriction;
  • resell, sublicense or commercially exploit the Service without our written permission;
  • impersonate anyone, or misrepresent your connection with anyone; or
  • use the Service to build a competing product.

If you discover a security vulnerability, please report it privately to support@stickynotes.space and give us a reasonable time to fix it before disclosing it.

7. Availability, backups and data loss

We work hard to keep the Service running and your notes safe, but we do not promise that the Service will always be available, uninterrupted, timely or error-free. We may need to suspend it for maintenance, updates, security reasons or circumstances beyond our control, and we will try to keep any disruption short.

Keep your own copies of anything important. We are not responsible for loss or corruption of Your Content except where it is caused by our failure to use reasonable care and skill, and even then our liability is limited as set out in section 13. Deleting a note or your account is permanent, and we are not able to recover deleted content.

8. Our intellectual property

The Service, including its software, design, look and feel, text, graphics, logos and the names “Sticky Notes”, “stickynotes.space” and “Wannaverse”, is owned by us or our licensors and protected by intellectual property laws. Apart from the right to use the Service in line with these Terms, nothing gives you any rights in it. You must not use our names or logos without our prior written permission.

9. Feedback

If you send us ideas, suggestions or feedback, you agree that we may use them freely, without any obligation or payment to you. Please do not send us anything you want to keep confidential.

10. Third-party services and links

The Service relies on third-party providers, such as hosting and email delivery, and, if you consent, Microsoft Clarity analytics. The Service may also contain links to other websites. We are not responsible for third-party websites or services that we do not control, and your use of them may be governed by their own terms.

11. Suspension, termination and deletion

  • By you. You can stop using the Service at any time. You can delete your account with “Delete account” in the sidebar, which permanently deletes your account and notes.
  • By us. We may suspend or close your account, or restrict your access, with immediate effect if you seriously or repeatedly break these Terms, if we must do so by law, or if your use creates risk or possible legal exposure for us or other users. Where reasonable, we will tell you why and give you a chance to fix the problem first.
  • Inactive accounts. We may delete accounts that have not been used (signed in to, or opened while signed in) for 24 months or more. We will email the address linked to the account at least 30 days before doing so, and signing in or using the Service during that time keeps your account. We will not delete an inactive account without first sending that email.
  • Ending the Service. We may stop providing the Service entirely. If we do, we will give you at least 30 days’ notice by email where reasonably possible, so you can make copies of your notes.

Sections of these Terms which by their nature should survive termination, including sections 5 (as to responsibility for Your Content), 8, 9, 12, 13, 14, 17 and 18, will continue to apply after your account ends.

12. Disclaimers

The Service is provided free of charge, “as is” and “as available”. To the fullest extent permitted by law, and except as expressly set out in these Terms, we exclude all implied conditions, warranties, representations and other terms, including as to satisfactory quality, fitness for a particular purpose and non-infringement.

If you are a consumer, you have legal rights in relation to digital content and services that are not as described, not fit for purpose or not provided with reasonable care and skill. Nothing in these Terms affects those statutory rights. Advice about your legal rights is available from Citizens Advice.

13. Our liability to you

What we do not exclude. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

If you are a consumer. We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or our failing to use reasonable care and skill. Loss or damage is foreseeable if it is obvious that it will happen, or if both of us knew it might happen when you started using the Service. We only provide the Service for domestic and private use, so we are not liable to you for any loss of profit, loss of business, business interruption or loss of business opportunity. We are also not responsible for loss or damage that was not caused by our breach, or that you could have avoided by following our reasonable advice, such as keeping copies of important information.

If you use the Service for business purposes. To the fullest extent permitted by law, we will not be liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profits, revenue, business, goodwill, anticipated savings or data, or for any indirect or consequential loss.

Overall cap. Because the Service is free, and subject always to the first paragraph of this section, our total liability to you for all claims arising out of or in connection with the Service or these Terms is limited to the greater of (a) one hundred pounds sterling (£100) and (b) the total amount you have paid us for the Service in the 12 months before the event giving rise to the claim.

14. Business use and indemnity

If you use the Service for or on behalf of a business or organisation, that business or organisation agrees to indemnify us, our officers, employees and contractors against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising from its or its users’ content, breach of these Terms or breach of any law or third-party right. This section does not apply to you if you are using the Service as a consumer.

15. Changes to the Service and these Terms

We are always improving the Service and may add, change or remove features. We may also update these Terms to reflect changes to the Service, our business or the law. If a change materially affects you, we will tell you by email or in the Service at least 14 days before it takes effect, unless a change is needed sooner for legal or security reasons. If you do not agree to a change, you can delete your account before it takes effect. If you keep using the Service after a change takes effect, the updated Terms will apply.

16. Events outside our control

We are not responsible for any delay or failure to perform our obligations caused by events outside our reasonable control, such as failures of internet or hosting providers, cyber attacks we could not reasonably have prevented, power failures, industrial action, natural disasters, pandemics, war or government action. If such an event happens, we will tell you where possible and take reasonable steps to minimise its effect.

17. General

  • Entire agreement. These Terms and our Privacy Policy are the whole agreement between you and us about the Service.
  • Severability. If a court finds any part of these Terms invalid or unenforceable, the rest will continue to apply.
  • No waiver. If we delay or do not enforce any of these Terms, we can still enforce them later.
  • Transfer. We may transfer our rights and obligations under these Terms to another organisation, for example as part of a sale or reorganisation of our business. We will make sure your rights under these Terms are not reduced as a result. You may not transfer your rights or obligations without our written consent.
  • Third-party rights. These Terms are between you and us. No other person has any right to enforce them, under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
  • Notices. We may send notices to the email address linked to your account. You can send notices to us at support@stickynotes.space.

18. Governing law and disputes

These Terms, and any dispute or claim arising out of or in connection with them or the Service, are governed by the law of England and Wales. You and we both agree that the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer living in Scotland or Northern Ireland, you may bring proceedings in the courts of your home country. If you are a consumer living elsewhere, you also keep the protection of any mandatory laws of your country of residence.

If you have a complaint, please contact us first at support@stickynotes.space. We will try to resolve it quickly and fairly.
